01. The Challenge
The client operates at the front of digital sports fan engagement, combining sports media rights with blockchain technology across NFTs, decentralised applications, DeFi tools and play-to-earn games. As part of its expansion it planned to launch its own Layer-1 chain while anchoring operations in the UAE.
The obstacle was foundational. Company formation requires share capital. Share capital, under existing UAE corporate law, meant currency. The client's capital was its token.
Three problems had to be solved simultaneously, none of which had an existing answer:
- Valuation. A registrar accepting tokens as capital is accepting a volatile, self-issued asset at a stated value. What makes that value defensible?
- Characterisation. Is a native protocol token property capable of being contributed? Contributed by whom, and encumbered how?
- Governance. If tokens are capital, what voting and governance rights attach, and how do they interact with statutory shareholder rights?
Separately, the plan to run a Layer-1 validator raised its own question: does operating validator infrastructure from the UAE trigger virtual asset licensing? Our UAE Web3 company formation practice handles both halves of that question together.
02. What NeosLegal Did
-
Built the legal argument for token capital
A first-principles case for recognising the native token as a valid capital contribution under UAE corporate law, addressing property characterisation, valuation methodology and contribution mechanics.
-
Drafted bespoke constitutional documents
Shareholder resolutions and custom Articles of Association defining voting and governance rights tied to tokens, rather than adapting a template that assumed cash capital.
-
Negotiated with the free zone registrar
Sustained engagement covering whitepaper review, compliance frameworks and legal memoranda bridging corporate law and token economics. This was a persuasion exercise rather than a filing exercise.
-
Produced a comparative jurisdictional analysis
A survey of how other jurisdictions treat token contributions to share capital, used to show the registrar that acceptance would place the UAE ahead of international practice rather than outside it.
-
Completed incorporation with crypto-specific drafting
Full incorporation documents with clauses addressing token custody, transfer, valuation adjustment and balance sheet treatment of the contributed tokens.
-
Structured the validator outside the licensing perimeter
The Layer-1 validator role was structured so that it did not trigger UAE virtual asset licensing. See our UAE crypto and VASP licensing practice for how perimeter analysis works.
-
Designed token flows across the group
Token movement between operating entities, treasury functions and network participants was mapped and documented, with legal opinions on token characterisation and capitalisation mechanics, plus governance safeguards.
03. Results
| Outcome | Detail |
|---|---|
| First UAE company | First UAE company registered with native blockchain tokens as paid-in share capital |
| Registrar acceptance secured | For a model with no statutory basis at the time of application. |
| Governance rights tied to tokens | Documented in bespoke Articles rather than left to implication. |
| Validator operations structured outside the virtual asset licensing perimeter | Avoiding a licensing obligation the client would otherwise have inherited at launch. |
| Now referenced by multiple blockchain founders | Seeking compliant UAE entry. |
04. Key Takeaways for Founders Capitalising With Tokens
-
There is no form for this. Token capitalisation is an outcome a registrar can be persuaded to reach, and the persuasion package is the deliverable.
-
Draft corporate law and token economics together. Bolting token rights onto standard Articles produces a company whose constitution contradicts its cap table, which surfaces at the first funding round or governance dispute.
-
Valuation methodology carries the argument. A registrar's real objection to token capital is not ideological, it is that the number might be arbitrary. Answer that first and most of the resistance goes.
-
Run perimeter analysis at incorporation. Validator, treasury and token distribution activities all have licensing consequences. Structured at formation they are free. Discovered later they are expensive.
-
Comparative evidence lowers the risk for the decision-maker. Showing a registrar that peer jurisdictions have accepted similar contributions turns a novel request into a competitive one.

FAQ
-
It is possible but not available by default. No statutory provision automatically permits it, so it requires a registrar to accept a documented legal argument, a defensible valuation methodology and bespoke constitutional documents. It has been done, but each case is negotiated with the relevant registrar.
-
Not necessarily. It depends on what the validator does, whether it holds or transmits client assets, and how the operating entity relates to the protocol. In this matter the role was deliberately structured to stay outside the licensing triggers. Assuming validators are always exempt is as much a mistake as assuming they are always caught.
-
No free zone publishes a standing policy for this. Acceptance here came from direct engagement with a specific registrar on a specific structure, supported by a legal argument and a comparative jurisdictional survey.
