WHY CHOOSE NEOSLEGAL
Why Founders and Institutions Choose NeosLegal
NeosLegal has worked only on crypto and Web3 since 2016, before VARA existed, before ADGM had a crypto framework, and before most UAE firms understood what Bitcoin was. That head start shows in the track record, the recognition, and the way engagements run.
Track Record
- 350+ UAE Web3 and crypto projects structured and 750+ founders advised since 2016, with zero client enforcement actions in ten years.
- USD 500 billion in transactions advised and deals closed.
- 20+ VASP licence applications advised across the UAE regulators.
- 250+ Tier-1 exchange legal opinions at a 100% acceptance rate, a commercially verifiable outcome across hundreds of submissions.

- 60+ jurisdictions covered in total for cross-border structuring since 2016.
- Federal CMA Category RWA Tokenization Exchange, broker-dealer and OTC dealing desk licences delivered end to end, including the full policy suite, AML risk and controls register, and Approved Persons submissions the regulator requires.

Key Takeaways
- VARA is Dubai’s dedicated virtual-asset regulator, established under Dubai Law No. 4 of 2022, and the world’s first standalone regulator built for this asset class.
- Licensing runs across seven activity categories: Advisory, Broker-Dealer, Custody, Exchange, Lending and Borrowing, VA Management and Investment, and VA Transfer and Settlement.
- Rulebook 2.0, issued in May 2025, added the Virtual Asset Issuance framework, including ARVA rules for asset-referenced tokens and the FRVA overlay for fiat-referenced tokens.
- The application is two-stage: Initial Approval, then the VASP Licence. Initial Approval is not permission to operate.
- A well-prepared application runs 9 to 12 months end to end and AED 800,000 to 3,000,000 in Year 1, category-dependent.
- A DMCC, IFZA or other free zone trade licence does not authorise virtual-asset activity. VARA fined 19 firms in 2025, several for operating or marketing without authorisation.
- The DIFC is outside VARA’s perimeter (the DFSA regulates there), and ADGM in Abu Dhabi runs its own FSRA regime.
Why VARA Applications Move, or Stall
Dubai made a decision most jurisdictions have not: it built a regulator for virtual assets from scratch rather than bolting crypto onto a securities framework. That decision is why founders come to Dubai, and it is also why VARA applications fail in a particular way. VARA is a disclosure-led regulator staffed by people who understand the technology. Applications written like traditional financial-services filings, long on boilerplate and short on how the business actually works, stall. Applications that explain the model precisely, map it to the right activity category, and disclose the hard parts early, move. A VARA licensing lawyer’s job is the second kind of application.
What a VARA Licensing Lawyer Does
Four things, in sequence:
- Activity classification: mapping what the business actually does to the correct VARA category or combination of categories, because the category sets the capital, the fees, the compliance build and the timeline.
- Entity and structure: the Dubai entity VARA licenses, its ownership, governance and substance, and how it fits any wider group.
- The application itself: the business plan, financial model, compliance framework, technology and custody documentation, and the senior appointments VARA expects to see, assembled in the order VARA reads them.
- Life after grant: Rulebook compliance, marketing review under the Marketing Regulations, regulator correspondence, and the variations that come when the business adds an activity or a product.
The VARA Framework: Dubai’s Virtual Asset Regulator
VARA regulates virtual-asset activity in and from the Emirate of Dubai, excluding the DIFC, under Dubai Law No. 4 of 2022. Its rulebook architecture pairs compulsory rulebooks that apply to every licensee (company, compliance and risk management, technology and information, market conduct) with activity rulebooks per category. Rulebook 2.0, issued in May 2025, is the current generation and added the Virtual Asset Issuance framework: Category 1 covering asset-referenced virtual assets (ARVAs), the regime behind Dubai’s real-world-asset tokenisation push, and the FRVA rules for fiat-referenced tokens sitting alongside the Central Bank’s payment-token regime. The Marketing Regulations reach anyone marketing virtual assets in or from Dubai, licensed or not.
The full framework, capital tables and application detail sit on the VARA licence Dubai service page; this page is about the lawyer who runs the engagement. For which firms currently hold each category, see the live UAE VASP Licence Tracker, updated monthly.
The Seven VARA Activity Categories
- Advisory Services
Regulated advice on virtual assets.
- Broker-Dealer Services
Dealing as agent or principal, including OTC desks, which usually deal as principal.
- Custody Services
Safeguarding client virtual assets and controlling keys; the application turns on key-management architecture.
- Exchange Services
Operating a trading venue; almost always stacked with dealing and custody permissions.
- Lending and Borrowing Services
Including staking-as-a-service offered to third parties.
- VA Management and Investment Services
Managing virtual-asset portfolios on a discretionary basis.
- VA Transfer and Settlement Services
Moving virtual assets between parties, and currently not offered.
Most real businesses need a combination. The classification exercise, done honestly at the start, is the highest-value hour in the engagement.
The VARA Application, Stage by Stage
A VARA application moves through recognisable stages, and knowing them helps you plan capital and timing.
- 01
Initial engagement and entity setup
The activity category is confirmed and the UAE entity is structured for eligibility.
- 02
Documentation build
The longest phase, in which the AML framework, business plan, technology and governance submissions, and personnel profiles are drafted to VARA standard.
- 03
Submission
The application is submitted through VARA’s portal.
- 04
Review and deficiency notices
VARA reviews the application and typically issues deficiency notices, which are written requests for clarification or additional detail. Responding to these precisely and quickly is what separates a six-month timeline from a twelve-month one.
- 05
Licence granted
On satisfactory completion, VARA grants the licence, often initially with conditions to be satisfied before full operational launch.
- 06
Ongoing obligations
After licensing, ongoing obligations begin, including supervision, reporting, AML refresh cycles, and governance updates.
The practical lesson is that the work front-loads. The more complete and internally consistent the application is at submission, the fewer notices it attracts and the faster it clears. This is precisely where specialist preparation earns its fee, because the cost of legal support is almost always lower than the cost of a launch delayed by avoidable deficiency notices. Founders who treat the application as a single coordinated submission, rather than a stack of separate documents assembled in a hurry, consistently move through the process faster.
VARA or ADGM or the CMA: Which Route Fits?
VARA fits Dubai-based, often retail-facing business that wants the regulator built for the asset class. ADGM (FSRA) in Abu Dhabi fits institutional business that values English common law and Tier-1 counterparty recognition. The federal CMA covers onshore UAE activity outside the two financial free zones and Dubai’s VARA perimeter. The comparison across all five UAE regulators, including the DFSA and the Central Bank, lives on the UAE crypto and VASP licensing hub. If the honest answer is that another regulator fits better, that is the advice; a licence under the wrong regulator is a liability with annual fees.
After Grant: Supervision, Variations and Marketing
The licence is the start of the relationship, not the end of it. VARA supervises actively: periodic reporting, annual audits, technology and compliance reviews, and correspondence that expects the same precision as the application did. Three post-grant workstreams recur. Variations: adding an activity category, a product or a token listing means going back to VARA with a scoped application, smaller than the original but built the same way. Marketing: every campaign, influencer arrangement and public claim sits under the Marketing Regulations, and several of the 19 firms VARA fined in 2025 were licensed; the licence does not immunise the marketing. Rulebook change: VARA iterates its rulebooks, and each generation, Rulebook 2.0 being the current one, lands with transition windows that compliance teams have to hit. Most NeosLegal licensing clients move onto a monthly retainer for exactly this: rulebook updates, variation filings, marketing review and regulator correspondence handled by the team that built the application.
Who Needs a VARA Licensing Lawyer, and Who Does Not
You need one if you are operating, or planning to operate, a virtual-asset business in or from Dubai: an exchange, a brokerage or OTC desk, a custodian, a lender or staking provider, a portfolio manager, or a token issuer under the VA Issuance regime. You also need one if you already hold a free zone trade licence and have been told, or suspect, that it does not cover what you actually do. You do not need one to hold your own crypto, to build software that never touches client assets, or to run a business whose only link to virtual assets is accepting them as payment through a licensed processor; part of the first call is telling you if you are in that category.
What Does VARA Licensing Cost?
Two budgets. The regulatory budget: AED 800,000 to 3,000,000 in Year 1 for most single-category applications, covering VARA application and supervision fees, the capital requirement for the category, the compliance build and the mandatory hires; 9 to 12 months for a well-prepared application. The legal budget: NeosLegal engagements for VARA licensing typically run USD 20,000 to 60,000 fixed-fee depending on category and complexity, scoped in writing before work begins, with regulator fees and third parties passed through at cost. The number that matters most is neither: it is the cost of the months lost to a mis-scoped application, which is why classification comes first.
Why a Crypto-Native Firm, Not a General Commercial Firm
A general firm learns your business model from you, then learns VARA’s expectations from the rulebooks, in your billable time. A crypto-native firm arrives knowing both. NeosLegal has worked only on crypto and Web3 since 2016, before VARA existed; has advised on 20+ VASP licence applications across the UAE regulators; and reads a whitepaper, a tokenomics model or a custody architecture the way a general practice reads a lease. That is the difference between an application that explains the business to the regulator and one that makes the regulator do the work.

Founder commentary on disclosure
“VARA reads applications the way an engineer reads a spec: it wants to know exactly how the thing works and where it breaks.
Founders who disclose the hard parts early get licensed. Founders who bury them get questions, and questions cost months. ”
