01. The Challenge

Redomiciling a conventional fund is a known exercise. Redomiciling a token-native fund is not, because the assets are mostly promises. An unconverted SAFT is a contractual right to receive tokens that do not yet exist. A token warrant is a right to acquire a right.

The open questions were, and remain, unsettled in most major jurisdictions: are future token rights taxable property, does vesting trigger income recognition, how do token warrants interact with withholding regimes, and does assignment of an unconverted instrument constitute a disposal.

Two failure modes, both terminal. Tax leakage: if the assignments were characterised as disposals or constructive receipt, the fund and its founder faced recognition events on hundreds of millions in unrealised value, with no liquidity to pay. Contractual breach: most of the 180+ instruments carried transfer restrictions, consent requirements or change-of-control provisions, and a single mishandled novation could void a position.

02. What NeosLegal Did

  1. Due diligence and contract review

All 180+ agreements categorised by instrument type and governing law, with a visual rights-allocation matrix showing what each position conferred and what restricted its transfer.

  2. Entity formation and governance

Formation of the new vehicle in a jurisdiction offering favourable treatment, with governance built for the client's token-launch roadmap rather than retrofitted afterwards. See our crypto fund formation practice.

  3. Assignment and novation

Tailored agreements drafted per instrument class rather than one template across the portfolio, with consent and notice mechanics handled instrument by instrument.

  4. Tax validation and regulatory coordination

Multi-jurisdictional opinions confirming neutrality for both fund and founder, covering taxable disposal, constructive receipt, gain recognition, classification of token warrants as property, withholding exposure, vesting and economic substance. AML and KYC realigned to the destination jurisdiction concurrently, with our UAE crypto tax team.

The migration ran through a virtual data room with rights-allocation matrices and compliance trackers, so the client could see position-level status at any point.

04. Key Takeaways

  1. Unsettled law is workable law. The tax treatment of token instruments remains open globally. That argues for documenting a defensible position now, not for waiting.

  2. Per-instrument drafting is not optional. One novation template across 180 heterogeneous instruments is how positions get voided.

  3. Sequencing is the job. Entity, governance, novation and tax validation have to land in an order that never leaves an instrument unowned or a consent unobtained.

  4. Fix the chain of title before you buy the opinion. A tax opinion validates a structure. It does not create one.

FAQ

  1. It depends on jurisdiction, characterisation, and whether the assignment is treated as a disposal for value. There is no global consensus. In this matter, coordinated opinions confirmed the framework as structured produced no disposals, constructive receipt or gain recognition for the fund or its founder.

  2. That is one of the unsettled questions this matter had to resolve. Characterisation varies by jurisdiction and determines whether vesting, exercise or assignment produces a recognition event. The position taken must be documented at the time and consistent with the instrument's actual terms.

  3. Rarely. Most SAFTs, warrants and convertibles carry transfer restrictions or consent requirements. The practical route is to categorise every instrument by its transfer mechanics first, then sequence consents and novations accordingly.
